1. OBLIGATION TO BUILD

The Purchaser undertakes to construct a principal residence on the Property being sold, in compliance with all applicable municipal by-laws and regulations, within a maximum period of two (2) years following the signing of the Deed of Sale.

The Purchaser shall obtain all required permits and authorizations, including the building permit issued by the Municipality, prior to commencing any construction work.

For the purposes of this Annex, the residence shall be deemed constructed once the work has progressed to the stage where an occupancy permit or any equivalent certification required by the Municipality may be issued.

2. MANDATORY RECONVEYANCE CLAUSE

Should the Purchaser fail to comply with the obligation to construct as provided in this Annex within the prescribed time period, the Purchaser irrevocably agrees to reconvey the Property to the Municipality, without consideration and free of charge.

The Purchaser shall be responsible for all costs associated with such reconveyance, including, without limitation:

* professional fees and notarial fees;
* registration fees at the Québec Land Register;
* surveying, cancellation or correction costs, where applicable;
* any other costs required to give full effect to the reconveyance.

In the event of a reconveyance, the Purchaser expressly waives any claim, indemnity, compensation or reimbursement whatsoever, including with respect to the purchase price paid, improvements, work, constructions, installations, landscaping or expenses incurred on the Property.

3. SWORN UNDERTAKING

Prior to the signing of the Deed of Sale, the Purchaser shall sign and deliver to the Municipality a written sworn undertaking confirming:

a) the obligation to construct a residence within the prescribed time period;

b) the obligation to reconvey the Property to the Municipality free of charge in the event of default;

c) the obligation to assume all costs associated with such reconveyance;

d) the obligation to execute any document required to give full effect to the present provisions.

Failure to provide such undertaking shall entitle the Municipality to refuse to proceed with the sale.

4. OBLIGATION TO EXECUTE REQUIRED DOCUMENTS

Upon receipt of written notice from the Municipality confirming the Purchaser's failure to construct, the Purchaser undertakes to promptly execute any deed, document, consent or declaration required to transfer to the Municipality all of the Purchaser's right, title and interest in and to the Property.

5. RESTRICTION ON TRANSFER

Prior to the completion of the residence in accordance with the present provisions, the Purchaser shall not sell, assign, transfer, donate, exchange or otherwise dispose of, in whole or in part, any rights in the Property without the prior written authorization of the Municipality.

Any transfer or disposition made in contravention of this clause shall be unenforceable against the Municipality.
